Terms of Service

1. Acceptance of Terms

By accessing and using MountainHR ("the Service"), provided by Mountain Care Rx ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

MountainHR is a cloud-based human resources management system that provides employee management, time tracking, payroll integration, performance reviews, and other HR-related functionality. The Service includes integration with QuickBooks for payroll and accounting synchronization.

3. User Accounts and Access

3.1 Account Creation

To use the Service, your organization must create an account. You are responsible for:

  • Maintaining the confidentiality of account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring accurate and up-to-date account information

3.2 User Roles and Permissions

The Service provides role-based access control with different permission levels:

  • Admin: Full system access and configuration
  • HR Manager: Employee management and reporting
  • Manager: Team management and approvals
  • Employee: Self-service access to personal information

4. QuickBooks Integration

4.1 Authorization

By connecting MountainHR to QuickBooks, you authorize us to access and synchronize employee data, payroll information, and related records between the systems. You must have the necessary permissions in QuickBooks to authorize this integration.

4.2 Data Synchronization

The integration provides bidirectional synchronization, including:

  • Employee records and contact information
  • Compensation and payroll data
  • Department and organizational structure
  • Time entries and billable hours

4.3 Disconnection

You may disconnect the QuickBooks integration at any time through the admin settings. Upon disconnection, synchronization will stop, but historical data will be retained for audit and compliance purposes.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or employment standards
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Upload malicious code, viruses, or harmful content
  • Misuse employee data or violate privacy regulations
  • Reverse engineer, decompile, or disassemble the Service

6. Data Ownership and Privacy

6.1 Your Data

You retain all rights to the data you input into the Service. We do not claim ownership of employee records, payroll data, or other information you provide.

6.2 Data Processing

We process your data as outlined in our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided complies with applicable laws and regulations.

6.3 Data Security

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.

7. Service Availability

7.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances.

7.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without prior notice.

8. Fees and Payment

Service fees, if applicable, will be communicated separately through a service agreement. All fees are exclusive of applicable taxes unless otherwise stated.

9. Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by Mountain Care Rx and protected by copyright and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

10. Third-Party Services

The Service integrates with third-party services, including QuickBooks by Intuit Inc. Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services or their practices.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOUNTAIN CARE RX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • Errors, mistakes, or inaccuracies in the Service
  • Integration issues with QuickBooks or other third-party services

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify and hold harmless Mountain Care Rx from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of another.

14. Termination

14.1 By You

You may terminate your use of the Service at any time by discontinuing access and requesting account deletion.

14.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent activity, or for other legitimate business reasons.

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will provide you with access to export your data for a reasonable period following termination.

15. Compliance and Employment Law

You are responsible for ensuring your use of the Service complies with all applicable employment laws, data protection regulations (including GDPR, CCPA), and industry standards. We provide tools to assist with compliance but do not provide legal advice.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Mountain Care Rx operates, without regard to conflict of law principles.

18. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
